Founder terms, in plain language
This is what we offer every founding CEO and their team. Written to be understood without a lawyer; the lawyer comes later, to sign.
Corporate governance
- Each startup has a board formed by the two Managing Partners of Fundadores.net, one or two of the startup's advisors and the company's CEO.
- That board approves by majority the main decisions: strategy, five-year plan, operating plan and annual budget, allocation of equity stakes, and the evaluation and, where applicable, hiring or dismissal of the CEO.
- An affirmative vote from the Fundadores.net team is required for events that modify the cap table or the bylaws of any of its companies.
- Fundadores.net shares carry the same economic value as the rest and include a put option in the Series A and B rounds.
- Transfer restrictions, right of first refusal, tag-along and drag-along apply equally to CEO, team and partners.
- After every meeting you receive a statement: shares distributed, reserve and reference value from the last round.
Cap table on day zero
- You, CEO: 48.5%. Your team (ESOP pool): 12%. Venture builder partners and your startup's advisors: 19.5%. Fundadores.net: 20%.
- All common stock, diluting pari passu, with no anti-dilution clauses for anyone.
Pre-seed and seed
- At incorporation you receive US$150K via a post-money SAFE with a US$1.2M cap. On conversion your stake is around 42% and Fundadores.net's around 30%.
- When you raise your seed round (~US$2M) from external investors, Fundadores.net invests an additional US$150K at the price they set. We never price our own companies.
- The second check is released only when the company shows it can raise that round. If it doesn't graduate, it winds down in an orderly way.
How you earn your shares
- Your shares and your team's are earned against a yearly goal set by the board every January, aligned to a five-year goal.
- Year 1 weighs twice a final year; year 2, 1.5 times; years 3 to 5, equal. In percentages: 30.8 · 23.1 · 15.4 · 15.4 · 15.4.
- The factor is collective: the percentage of the yearly goal achieved, capped at 100%. Excess helps the following year.
- What is not earned goes to a closing reserve distributed at the end according to cumulative five-year achievement.
- What has been distributed is yours even if you leave later. Whoever joins or leaves before a year ends does not take part in that year's distribution.
- If there is an exit before year five, 100% of what is pending is released. A funding round or a partial secondary sale do not accelerate.
Your team
- Every January the board assigns a maximum number of shares per person; the sum does not exceed the year's pool.
- Whoever joins during the year enters the following year's plan and receives a first distribution after completing a full year.
Delivery and tax
- The yearly distribution is a registered right; subscription and payment happen at the liquidity event, so tax is triggered when there is cash.
- The board will evaluate the most efficient vehicle for the team ahead of the liquidity event.
